These Terms and Conditions govern cooperation with On Course & Partner® in relation to coaching, communication sparring, consulting, workshops, training courses, presentations, live online programmes and in-house formats. The specific description of each service is set out on the relevant landing page, in the programme announcement, on the booking page, in the order confirmation or in an individual agreement.
1. Services
(1) On Course & Partner® provides consulting, coaching, training and professional development services for individuals, self-employed professionals, specialists, managers and organisations.
(2) Services include, in particular, individual coaching, communication sparring, group programmes, live online programmes, workshops, training courses, presentations, facilitation, in-house formats and open seminars.
(3) Services may be delivered in person, as live online formats or as a combination of both. The specific format is set out in the relevant service description, landing page, programme announcement, booking page, order confirmation or individual agreement.
(4) The purpose of the services is to support professional reflection, communication, decision-making, leadership, collaboration, personal impact and the handling of specific professional situations.
(5) The services are intended for professional development, competence development, reflection and practical support. They do not constitute vocational training leading to a state-recognised qualification or a state-regulated programme of education.
(6) Where provided, documents, exercises, checklists, reflection questions and audio or video materials are made available for voluntary preparation, follow-up and personal development. They do not replace participation in live sessions.
(7) No particular personal, professional, economic or communication-related outcome is guaranteed. Customers remain responsible for implementing the ideas, strategies and possible courses of action developed during the service.
2. Scope and Contracting Party
(1) These Terms and Conditions apply to all contracts between the Provider and its customers concerning coaching, communication sparring, consulting, workshops, training courses, presentations, live online programmes, in-house formats and open seminars.
(2) The services are offered to individuals and organisations in Switzerland, the European Union and other countries. Mandatory consumer-protection provisions applicable at the consumer’s place of residence take precedence.
(3) The specific service is not described exhaustively in these Terms and Conditions. The relevant landing page, programme announcement, booking page, order confirmation, invoice or individual agreement is authoritative for the particular service.
(4) Where live online programmes, group formats or individual coaching are offered, the focus is on personal interaction, reflection, consulting, practical application and work on specific professional issues.
(5) The services are not designed as distance learning in the form of a predominantly self-directed learning programme. There are no examinations, grades, compulsory learning assessments or certifications unless expressly stated otherwise in the relevant service description.
(6) The Provider is based in Switzerland. The contracting party is Christl Lang, On Course & Partner®, Kleinmatt 5, CH-6402 Merlischachen, Switzerland.
3. In-House and Corporate Training
(1) In-house and corporate training programmes are formats tailored to organisations. They are delivered in person at the customer’s premises, at another mutually agreed location or as a live online format.
(2) Content, objectives, duration, dates, location, participants, fees, travel expenses and other framework conditions are set out in the relevant proposal and order confirmation.
(3) The customer is responsible for providing suitable premises, appropriate technical equipment and conditions that allow the programme to proceed without disruption. The customer must inform participants of the location, time and relevant arrangements in good time.
(4) Unless otherwise agreed, the Provider’s travel and accommodation expenses and other out-of-pocket expenses are charged in addition to the fee and itemised in the proposal or order confirmation.
(5) In-house and corporate training programmes are live events with a consulting, training and professional development character. Supplementary materials and optional reflection tasks are intended for voluntary further study and do not replace live participation.
4. Open Seminars and Workshops
(1) Open seminars and workshops are events organised by the Provider that may be booked by individual participants.
(2) They may be delivered in person or as live online formats. The scope of services, venue, duration, included services and minimum and maximum number of participants are set out in the relevant programme announcement.
(3) Unless expressly stated otherwise in the programme announcement, participants are responsible for their own travel, accommodation and catering costs, which are not included in the price.
(4) Open seminars and workshops involve consulting, exchange, training and practice-oriented professional development. No examinations, tests or compulsory assessments are conducted unless expressly agreed otherwise.
5. Formation of Contract and Booking
(1) The presentation of services on websites, in brochures, on booking pages or in other media is non-binding and does not constitute a contractual offer.
(2) A booking submitted by form, email, shop system or booking platform, or by accepting a proposal with a signature, constitutes a binding enquiry.
(3) A contract is formed when the Provider expressly accepts the booking, for example by written confirmation via email, by issuing an invoice or order confirmation, or by granting access to the booked service.
(4) The contracts concern coaching, consulting, training or professional development services with a live component. The services are not designed as predominantly self-directed distance learning.
6. Prices, Taxes and Payment Processing
(1) Prices, currency, payment deadline and payment method are set out in the relevant service description, booking page, order confirmation or invoice.
(2) Customers in Switzerland and Liechtenstein are generally invoiced in Swiss francs unless another currency is expressly agreed.
(3) Customers in the European Union are generally invoiced in euros unless another currency is expressly agreed.
(4) Payments by EU consumers may be processed by an external payment or reseller service provider. In that case, the contractual, payment and withdrawal terms displayed during the relevant booking process also apply.
(5) EU business customers may be invoiced net under the reverse-charge procedure, provided the legal requirements are met and the necessary company and VAT information has been supplied.
(6) Services that qualify as educational services, teaching, courses, presentations, seminars or other educational activities under Swiss VAT law may be exempt from Swiss VAT pursuant to Article 21(2)(11) of the Swiss VAT Act.
(7) The tax treatment depends on the nature, content and delivery of the specific service and on the applicable legal provisions. The relevant tax treatment is shown on the invoice or booking page.
(8) For services delivered at the customer’s premises or another agreed location, travel, accommodation, room hire and necessary expenses may be charged separately unless the proposal expressly states otherwise.
(9) Unless otherwise agreed, payment is due within seven days of the invoice date.
7. Participation Requirements, Conduct and Technology
(1) Participants in online formats require a stable internet connection and standard audio and video equipment, in particular a camera, microphone, speakers or headset. Participants are responsible for ensuring that their technical equipment functions properly.
(2) Technical problems on the participant’s side do not release the participant from the obligation to pay, provided that the Provider has made the service available as agreed.
(3) The Provider expects all participants to contribute respectfully and constructively. Confidential information shared by other participants must be treated as confidential.
(4) If participants substantially disrupt the programme through their conduct, repeatedly treat other participants disrespectfully or deliberately obstruct the event, the Provider may exclude them from further participation after a prior warning. The obligation to pay remains unaffected.
(5) For in-house training, the customer must inform participants of these conduct requirements and support the Provider in enforcing any necessary exclusion.
(6) Coaching, communication sparring and training are not substitutes for medical, psychotherapeutic or psychiatric treatment. No diagnoses are made, no promises of healing are given and no recommendations concerning medication or medical treatment are provided.
(7) In the event of an acute crisis, severe psychological distress or suicidal thoughts, medical, psychotherapeutic or psychiatric help must be sought immediately.
8. Cancellation and Rescheduling
(1) Cancellations and rescheduling requests are handled as fairly and constructively as possible. Customers are asked to contact the Provider promptly if they are unable to attend an appointment or event.
(2) The applicable cancellation and rescheduling conditions are set out in the relevant service description, proposal, order confirmation or cancellation or withdrawal terms provided at the time of booking.
(3) Where an external payment or reseller service provider is used, that provider’s cancellation, payment and withdrawal terms may also apply.
9. Live Character, No Examinations and Distinction from Distance Learning
(1) The Provider’s services are designed as live formats involving consulting, coaching, training or professional development. Participants work with the Provider and, where applicable, the group in real time.
(2) Questions, examples, exercises and reflections are discussed together during the session. Personal interaction, practical application and work on specific situations are central to the service.
(3) Supplementary documents, worksheets, reflection questions and audio or video materials are intended for voluntary preparation, follow-up and personal development. They do not replace live participation and are not the principal component of the service.
(4) There are no examinations, grades, compulsory homework assignments or mandatory learning assessments. Feedback is provided voluntarily as part of the live sessions.
(5) The services do not constitute vocational training leading to a state-recognised qualification, a state-regulated programme of education or predominantly self-directed distance learning.
(6) Individual coaching, communication sparring and mentoring packages support personal reflection, decision-making and practical preparation for specific situations. They do not follow an examination-based curriculum and do not include assessments within the meaning of the German Distance Learning Protection Act (Fernunterrichtsschutzgesetz, FernUSG).
(7) Based on the current assessment, the services are not designed as distance learning within the meaning of Section 1 FernUSG. If legislation or administrative practice changes, the Provider may adjust the structure, contractual documents and delivery of the services accordingly.
10. Recordings and Rights
(1) Live sessions are not normally recorded unless the relevant service description expressly states otherwise.
(2) If a recording is made in an exceptional case, this will be announced in advance. Recordings in which participants can be identified will be made only with the appropriate consent where such consent is legally required.
(3) All content, documents, concepts, exercises, checklists, presentations and materials are protected by copyright. They may not be reproduced, published, sold, distributed or made available to third parties without the Provider’s express consent.
(4) Organisations may use materials provided only for the group of participants and purpose agreed in the contract unless broader use has been expressly agreed.
11. Missed Sessions and Confirmation of Participation
(1) There is no entitlement to a replacement session unless this has been expressly agreed. Missed content generally cannot be replaced on a one-to-one basis.
(2) For group formats, the Provider may voluntarily make brief information, materials or organisational notes available. This does not create an entitlement to a complete repeat of the missed session.
(3) Upon request, a confirmation of participation may be issued without grades or performance assessment. It serves solely as evidence of participation and is not a state-recognised qualification.
12. Right of Withdrawal for EU Consumers
(1) Consumers in the European Union who book online may have statutory rights of withdrawal. The specific arrangements depend on whether the booking is made directly with the Provider or through an external payment or reseller service provider.
(2) For bookings made through external payment or reseller service providers, the withdrawal terms displayed during the relevant booking process also apply.
(3) For direct bookings, the provisions contained in the separate withdrawal information apply where such information is required by law.
(4) The right of withdrawal may expire early if, at the consumer’s express request, the service has been fully performed before the withdrawal period expires and the statutory requirements for early expiry have been met.
13. Data Protection
(1) The Privacy Policy applies.
(2) Suitable third-party providers may be used for bookings, payment processing, video conferences, email communication and technical delivery. Further information is provided in the Privacy Policy.
14. Liability
(1) The Provider is liable for damage only in cases of intent or gross negligence. In cases of ordinary negligence, the Provider is liable only for breach of essential contractual obligations. In such cases, liability is limited to the damage that is typically foreseeable.
(2) Mandatory statutory claims, particularly in the event of injury to life, body or health, remain unaffected.
(3) To the extent permitted by law, liability for loss of profit, indirect damage and consequential damage is excluded.
(4) The Provider is not liable for decisions, actions or omissions that customers make independently on the basis of the services provided.
15. Dispute Resolution
(1) The Provider is not obliged to participate in dispute resolution proceedings before a consumer arbitration body.
(2) The aim is to resolve disagreements directly and amicably. Customers are asked to contact the Provider first if any disagreement arises.
16. Governing Law and Jurisdiction
(1) Swiss law applies unless mandatory legal provisions, particularly those protecting consumers, provide otherwise.
(2) The place of jurisdiction is Lucerne, Switzerland, unless mandatory legal provisions require a different place of jurisdiction.
(3) The language of the contract is German unless another contractual language has been expressly agreed.
17. Amendments to These Terms and Conditions
(1) The Provider may amend these Terms and Conditions where necessary, for example following changes to services, processes, technical systems or the legal framework.
(2) Contracts already concluded remain subject to the version in force when the contract was entered into, unless expressly agreed otherwise.
